Terms of Service

1. Use of the Services

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• use the Services in any way that violates applicable law or regulation;
• attempt to gain unauthorized access to any portion of the Services, other accounts, or our systems or networks;
• interfere with or disrupt the integrity or performance of the Services;
• introduce malware or any harmful code; or
• use automated means to scrape, harvest, or collect information from the Services without our prior written consent.

2. Portal Access & Accounts

Access to our authenticated portal is provided to authorized clients and personnel only. If you are given credentials, you are responsible for maintaining their confidentiality and for all activity under your account. You must notify us promptly of any unauthorized use. We may suspend or revoke access at any time, including when an account is no longer authorized.

3. Intellectual Property

The Services and their content — including text, graphics, logos, service names (such as VoltageVanguard™, POWERForge™, and PowerBridge™), and software — are owned by or licensed to Eradeh and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You may not copy, modify, distribute, or create derivative works from our content without our prior written permission.

4. Submissions

Information you submit through the Services must be accurate and must not infringe the rights of any third party. You are responsible for the content you submit. We handle personal information you provide in accordance with our Privacy Policy.

5. Informational Content; No Professional Reliance

Content on the Site — including articles, case studies, and service descriptions — is provided for general informational purposes only and does not constitute engineering, financial, legal, or other professional advice. Any professional engineering services are provided solely under a separate written agreement between Eradeh and its client, and only that agreement governs the scope, deliverables, and professional responsibility for such services. Nothing on the Site creates a client relationship or any professional duty.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT IS ACCURATE OR COMPLETE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ERADEH AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). This section does not limit liability that cannot be limited under applicable law, and it does not affect the terms of any separate professional-services agreement.

8. Indemnification

You agree to indemnify and hold harmless Eradeh from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Services or your violation of these Terms or applicable law.

9. Third-Party Links

The Services may contain links to third-party websites or resources. We are not responsible for the content, products, or practices of any third party.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising from or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We may modify these Terms from time to time. When we do, we will revise the “Effective date” above. Your continued use of the Services after an update constitutes acceptance of the revised Terms.
